Overview

Nayara Energy Limited is an Indian downstream petroleum company headquartered in Mumbai, Maharashtra. It owns and operates one of India's largest single-site refineries, located at Vadinar in the Devbhumi Dwarka district of Gujarat, along with an extensive retail network of fuel stations across the country. The company was earlier known as Essar Oil Limited and was rebranded as Nayara Energy in 2018 following its acquisition by a consortium led by the Russian oil major Rosneft and the investment group Trafigura together with United Capital Partners.

Background

The company's origins lie in Essar Oil, part of the Essar Group founded by the Ruia family. Essar Oil developed the Vadinar refinery on the Gulf of Kutch coast of Gujarat, which began commercial production in the mid-2000s. The site was chosen for its deep-water port access, allowing the import of a wide variety of crude grades and the export of refined products. Over successive expansion phases, the refinery's complexity and capacity were significantly increased, making it one of the most sophisticated refineries in India in terms of Nelson Complexity Index.

Acquisition and rebranding

In 2017, a consortium led by Rosneft, together with Trafigura and United Capital Partners, completed the acquisition of Essar Oil from the Essar Group. The deal was among the largest foreign direct investments in India at the time and brought the Vadinar refinery, the associated port and power facilities, and the retail fuel network under new ownership. In 2018, the company was renamed Nayara Energy, signalling its transition into an independent, professionally managed entity distinct from the Essar Group.

Operations

Refining

The Vadinar refinery processes a diverse slate of crude oils, including heavy and sour grades, and produces a full range of petroleum products such as petrol, diesel, liquefied petroleum gas, aviation turbine fuel, fuel oil, naphtha and other intermediates. The refinery is integrated with a captive port at Vadinar capable of handling very large crude carriers, and a captive power plant.

Retail

Nayara Energy operates one of the largest private-sector fuel retail networks in India, with thousands of outlets spread across multiple states. The retail outlets, earlier branded under Essar, were rebranded to the Nayara identity following the change in ownership.

Petrochemicals

The company has announced plans to expand into petrochemicals, integrating downstream chemical production with refining operations at Vadinar to capture additional value from its product slate.
